Third Amendment To the Bylaws

Hondius Water Users Association, Inc.

This Third Amendment to the Bylaws of Hondius Water Users Association, Inc. (“Third Amendment”) is made effective this 7th day of April 2026.

Recitals

  1.  The Bylaws of the Hondius Water Users Association, Inc. dated September 21, 1998, as amended in the First Amendment to the Bylaws dated August 1, 2017 and the Second Amendment to the Bylaws dated December 14, 2022 (“Bylaws”) provide general guidelines for certain organizational and governance matters for the Hondius Water Users Association, Inc. (the “Association”).
  2. Any term used herein without separate definition shall have the meaning ascribed to such term in the Bylaws.
  3. Article VIII, Amendments, of the Bylaws provides that the Board of the Association shall have the power to make, alter, amend or repeal the Bylaws at any convened meeting of the Board by an affirmative vote of a majority of the Directors at any such meeting at which a quorum is present.

Now, therefore, this Third Amendment, having been adopted pursuant to the Bylaws, hereby amends the Bylaws as follows:

1. Article V, Organization, Section 4, Meetings, item A to the Bylaws, shall be amended by deleting the first sentence of that item and replacing it with the following sentence:

    Annual meetings of the members shall be held in the month of August of each year at such time and place as shall be determined by the Board of the Association and as provided by notice to the members at least 30 days prior to such meetings.

    2. Article V, Organization, Section 4, Meetings, item C to the Bylaws, shall be amended to read, in its entirety, as follows:

    A quorum for members’ meetings shall be 20 percent of the total number of Association members then in existence (at the date of this amendment, there are 64 total Association members; therefore, a quorum would be 20% of those 64 members or 13 members).

    3. Except as modified herein, the Bylaws shall remain in full force and effect.

    Certificate.  I hereby certify that the foregoing Third Amendment, consisting of two (2) pages, including this page, constitutes the Third Amendment to the Bylaws of the Hondius Water Users Association, Inc., adopted by the Board of Directors of the Association as of the 7th day of April 2026.
